Senior Level Contract Negotiator

The IT Contracts Management organization conducts front-end strategic assessment of business pursuits, proposal presentation, contract negotiation, contract administration and IT client activities to provide for proper contract acquisition and fulfillment in accordance with company policies, legal requirements, and customer specifications.

RESPONSIBILITES:
Reviewing, negotiating and drafting a variety of IT related agreements; providing interpretation of contractual terms and guidance on legal and business risks as well as providing creative solutions to arising issues; advising IT clients on contractual rights and obligations. Reviewing, drafting , structuring and negotiating a wide variety of IT related contracts including consulting agreements, services agreements, statements of work, software license agreements, non-disclosure agreements and other commercial agreements primarily related to IT.

Responsibilities also include:
•Identify and procure needed technology to mitigate legal and commercial risks to the Company through negotiations of contractual terms and conditions addressing Company requirements with vendors.
•Develop and manage the acquisition process to identify, evaluate and select appropriate technology vendors.
•Define requirements for asset acquisition and procedures such as management of equipment and module reuse, and tactical disposal strategies for the organization.
•Administering/managing a manual process for request for information (RFI), request for quote (RFQ), and request for proposal (RFP).
•Negotiate and draft multiple contacts or complex enterprise agreements and work on projects that range in size, complexity and contract duration.

Top 3 Non negotiable skills are listed below. Please do not provided candidates that do not possesses these skills at minimum.
o Understand and have the ability to interpret, identify risk (legal & commercial) draft & negotiate contractual language unassisted ensuring that it aligns. Information Technology contracting requirements/standards.
o Must have experience negotiating and executing small and large IT contracts (500k–2million+)
o This person must also have 5+ years of experience managing, negotiating and executing Master IT Services Agreements, Master Licensing Agreements, Statements of Work (large and small), consulting agreements & Software as a Service (SaaS) Agreements

Business Driver: This person will help support the negotiation and execution of some large contracts that are coming up for renewal in 2013 as well as some new work streams that the team will be expected to support. In addition to these renewals and additional work streams, this team also supports on average 10-15 standard contract requests per month from its internal customer base.

JOB REQUIREMENTS:
Qualifies candidates will have:
•A minimum of 5 years IT, or Finance contract management experience.
•Excellent verbal and written communication skills, including the ability to independently draft new contract language.
•Ability to understand, conceptualize, articulate and negotiate legal and business issues at a high level of sophistication and precision.
•Ability to independently make real time decisions on contractual issues.
•Knowledge of terminology commonly used in contracts and software licensing.
•Demonstrated ability to adapt to changing business requirements and develop/execute tactical & strategic IT plans to meet business needs.
•Previous experience with contract negotiations, drafting of commercial and legal provisions, and contract administration is required.
•International contact experience is helpful.
•Bachelor's degree in Business, Information Technology, or equivalent work experience is necessary.
